1. Acceptance of These Terms

These Terms of Use ("Terms") form a legally binding agreement between you and ABNEXTGEN WEBMASTERS PRIVATE LIMITED (CIN: U62099MP2025PTC077618) ("Hello Friend", "we", "us"), governing your access to and use of the Hello Friend website hellofriend.in, mobile and messenger applications, APIs and related services (the "Services"). By creating an account, clicking "Sign up", or using the Services, you agree to these Terms, our Privacy Policy, Community Guidelines and the other policies referenced here. If you do not agree, do not use the Services.

These Terms are an electronic record under the Information Technology Act, 2000 and are published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("IT Rules"). They do not require a physical or digital signature.

2. Eligibility

• You must be at least 18 years old. By signing up, you confirm that you are 18 or older.
• You must be legally capable of entering into a binding contract under the Indian Contract Act, 1872 (or the law of your country).
• You must not have been previously banned from the Services, and you must not be prohibited from using the Services under any applicable law.
• You must not be a convicted sex offender.

3. Your Account

• Provide accurate, current and complete information and keep it updated. Use your real identity; do not create an account for anyone else without permission.
• You may hold only one personal account. Accounts for businesses, brands and public figures must be created through Pages or with authorisation.
• You are responsible for keeping your password confidential and for all activity under your account. Enable two-factor authentication and inform us immediately at support@hellofriend.in if you suspect unauthorised access.
• Usernames are not owned by you. We may reclaim or change a username that impersonates others, infringes a trademark, is offensive, or has been inactive for a long time.
• Do not buy, sell, rent or transfer accounts, followers, likes, usernames or Pages.

4. Your Content and the Licence You Give Us

You own the content you post. By posting content, you grant us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide licence to host, store, use, reproduce, display, distribute, adapt (for example, resize or transcode), translate and publicly perform your content solely to operate, provide, promote and improve the Services, in accordance with your privacy settings. This licence ends when you delete the content or your account, except (a) where you shared content with others and they have not deleted it, (b) for a reasonable period while it is removed from backups, and (c) where we must retain it by law.

You confirm that you own or have all necessary rights to the content you post, that it does not infringe anyone's rights, and that it complies with these Terms and the law. You are solely responsible for your content. We do not endorse user content and are not responsible for it.

5. What You Must Not Do

In addition to following the Community Guidelines, you must not host, display, upload, modify, publish, transmit, store, update or share any information that, in line with Rule 3(1)(b) of the IT Rules:

• belongs to another person and to which you have no right;
• is obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable, relates to or encourages money laundering or gambling, or promotes enmity between groups on grounds of religion or caste with intent to incite violence;
• is harmful to children;
• infringes any patent, trademark, copyright or other proprietary right;
• deceives or misleads the recipient about its origin, or knowingly and intentionally communicates misinformation or information that is patently false and untrue or misleading in nature;
• impersonates another person;
• threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, prevents investigation of any offence, or insults another nation;
• contains software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
• is in the nature of an online game that is not verified as a permissible online game, or advertises or promotes such game or its intermediary;
• violates any law for the time being in force.

You must also not: use bots, scrapers or automated means to access the Services or collect data; send spam; attempt to gain unauthorised access to accounts or systems; reverse-engineer the Services; interfere with security features; create fake accounts or artificially inflate engagement; or use the Services for any unlawful, fraudulent or harmful purpose.

Consequences: if you violate these Terms, we may remove content, restrict features, suspend or terminate your account, forfeit unearned or fraudulently obtained balances, and report the matter to law enforcement where required.

6. Our Role as an Intermediary

Hello Friend is an intermediary within the meaning of Section 2(1)(w) of the IT Act and claims the protection of Section 79 of the IT Act. We do not initiate transmissions, select receivers or modify the information contained in user content, except as permitted by law. We act on content upon receiving actual knowledge through a court order or a lawful notice from the appropriate Government or its agency, or through our grievance redressal mechanism, as described in our Grievance Redressal & Content Moderation Policy.

7. Paid Features, Wallet and Virtual Items

• Paid features may include Pro membership, wallet top-ups, boosted posts and pages, advertising, virtual gifts, stickers, AI credits, creator subscriptions and other premium features. Prices are shown before purchase and include or exclude applicable taxes (such as GST) as indicated.
• Virtual items, credits and wallet balances have no monetary value outside the Services, are not property, cannot be transferred except as the Services allow, and may not be exchanged for cash except through an approved withdrawal or refund.
• Subscriptions renew automatically if you choose auto-renewal and can be cancelled at any time before the next billing date.
• Refunds are governed by our Refund & Cancellation Policy.
• Payments are processed by third-party payment gateways. We do not store your full card details.

8. Creator Monetization, Payouts and Affiliates

If you earn money through the Services (creator subscriptions, tips, gifts, funding campaigns, affiliate or referral programmes, or marketplace sales), our Monetization & Payout Terms apply in addition to these Terms.

9. Marketplace, Jobs, Offers and Funding

Where Hello Friend allows users to list products, jobs, offers or fundraising campaigns, Hello Friend acts only as a platform. Contracts for goods, services, employment or donations are between the users concerned. We do not guarantee the quality, safety, legality or delivery of any item, the truthfulness of any listing, or the ability of any party to complete a transaction. Our Marketplace & Seller Policy applies.

10. Third-Party Services, Apps and Games

The Services may include or link to third-party websites, apps built on our API, games, movies, embedded media, payment gateways and login providers. Your use of them is governed by their own terms and privacy policies, and we are not responsible for them.

11. AI Features

AI tools on the Services generate output automatically and may produce inaccurate, incomplete or offensive results. You are responsible for reviewing AI output before posting it and for ensuring it complies with these Terms. You must not use AI features to create content that violates the Community Guidelines, including deepfakes of real people, sexual content, or misleading synthetic media. AI-generated or synthetically modified content that could appear real must be labelled as such.

12. Intellectual Property

The Services, including the Hello Friend name, logo, design, software and our content, are owned by us or our licensors and are protected by law. You may not use our trademarks without written permission. If you believe your copyright or trademark is being infringed, follow our Copyright & Intellectual Property Policy.

13. Suspension and Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your account, or restrict access to features, if you breach these Terms or the law, if we are required to by law or a lawful order, if your account creates risk or legal exposure for us or others, or if your account has been inactive for an extended period. Where reasonable, we will notify you and give you an opportunity to appeal. Sections that by their nature should survive termination (including licences for shared content, disclaimers, limitation of liability, indemnity and governing law) will survive.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not control and are not responsible for the conduct of users, whether online or offline, or for user content.

15. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or opportunity, arising from or relating to your use of the Services. Our total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) INR 1,000. Nothing in these Terms excludes liability that cannot be excluded by law, including under the Consumer Protection Act, 2019.

16. Indemnity

You agree to indemnify and hold harmless us, our affiliates, directors, officers, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Before starting any formal proceedings, you agree to first contact our Grievance Officer and try to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Indore, Madhya Pradesh, India, and the proceedings will be in English. Subject to arbitration, the courts at Indore, Madhya Pradesh will have exclusive jurisdiction. This does not limit any rights you have as a consumer under mandatory law, including the right to approach a Consumer Commission.

18. Changes to the Services and These Terms

We may change, suspend or discontinue any part of the Services. We may update these Terms; if changes are material, we will notify you at least 30 days in advance through the Services or by email. Continued use after the effective date means you accept the updated Terms. We will also remind users of our rules and policies at least once a year, as required by the IT Rules.

19. General

These Terms, together with the policies referred to in them, are the entire agreement between you and us about the Services. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays caused by events beyond our reasonable control (force majeure). If these Terms are translated, the English version prevails in case of conflict.
